Startup Valuation That Founders Can Negotiate From.
A startup's value isn't sitting in three years of audited financials it's in the market it's chasing, the team executing on it, and the traction so far. As a premier independent valuation firm, Omnifin provides partner-led startup valuation opinions trusted by founders, boards, and investors built to support fundraising negotiations, satisfy FEMA and Companies Act compliance, and hold up under scrutiny.

What Is Startup Valuation?
Startup valuation is the process of determining what an early-stage or growth-stage company is worth usually well before it has the multi-year track record of profitability that a conventional DCF model assumes. That's the core challenge: most standard valuation methods were built for mature businesses with predictable cash flows, and a pre-revenue or early-revenue startup simply doesn't fit that mould.
This is why startup valuation leans on a different toolkit methods built specifically for high uncertainty, high growth potential, and thin or absent financial history: scenario-based DCF, market comparables drawn from recent funding rounds rather than public markets, and qualitative scoring methods that weigh team, market size, and traction directly. Which method (or blend of methods) applies depends heavily on the startup's stage an idea-stage company, a company with early revenue, and a company approaching Series C look very different from a valuer's chair.
At Omnifin, we also value the ESOP pool alongside the company itself. Pool sizing, strike price, and dilution modelling are usually part of the same conversation as the funding round valuation, not a separate exercise that happens later.
Partner-Led, Not Junior-Delegated
Every engagement is directly overseen by a senior valuer who understands both technical valuation methodology and the commercial realities of a live fundraising negotiation.
Auditor & Investor-Aligned Methodology
Our reports are built to satisfy FEMA pricing guidelines, Companies Act rules, and investor due diligence requirements right from the first draft.
What Changed With Angel Tax and What Didn't
Angel tax under Section 56(2)(viib) was abolished for investments from 1 April 2025 onward. While the tax risk on share premium is gone, a defensible valuation remains essential:
FEMA Pricing Compliance
- Foreign investment floor: Rule 21 of FEMA Non-Debt Instruments Rules, 2019 still sets a strict pricing floor for equity issued to non-resident investors.
- FC-GPR filing: Certified using internationally accepted methodology to ensure smooth RBI reporting.
Companies Act & ROC
- Section 62 allotment: Share issuances and ROC filings like Form PAS-3 still mandate a certified valuation to support allotment pricing.
- Registered valuer mandate: Prepared by an IBBI Registered Valuer for statutory board approvals.
Commercial Negotiations
- Investor negotiation anchor: An objective pre-money anchor protects founders from unnecessary dilution and arbitrary pricing.
- Rule 11UA secondary transfers: Still essential for secondary share transfers priced below computed FMV to avoid deemed capital gains.
Our Startup Valuation Services
Tailored valuation opinions engineered for funding rounds, statutory filings, and cap table management.
Funding Rounds, FEMA & ROC Compliance
- Funding Round Valuation: Pre-money and post-money valuation to support Angel, Seed, Pre-Series A, and Series A through D rounds.
- FEMA Pricing Compliance: Valuation certificates under Rule 21 of the FEMA NDI Rules, 2019 for non-resident investments and FC-GPR filing.
- Companies Act Compliance: Independent valuations supporting share issuances under Section 62 and Form PAS-3 filings.
- Rule 11UA Fair Market Value: FMV determination for secondary share transfers priced below computed book/DCF thresholds.
Instruments, Cap Tables & Special Situations
- ESOP Pool Sizing & Valuation: Option pool right-sizing, dilution modelling, and strike price determination alongside your round.
- Convertible Notes & CCPS: Valuation models for Compulsorily Convertible Preference Shares and structured bridge instruments.
- Secondary Sales & Down-Rounds: Independent valuation reports for secondary liquidity, internal restructurings, or down-round defense.
- Triangulated Methodology: Combining multiple methods to stress-test your valuation rather than presenting one isolated number.
Valuation Methods by Startup Stage
There is no single formula across every stage the right methodology reflects how much operating track record exists:
| Stage | Typical Method(s) | Methodology Rationale |
|---|---|---|
| Idea / Pre-Revenue | Berkus Method, Scorecard Method, Risk Factor Summation | No financial history to model; value is scored qualitatively against team, addressable market, product maturity, and execution risk. |
| Early Revenue | Venture Capital (VC) Method, Scenario-Based DCF | Early traction anchors exit multiples and forward-looking projections, even if the current historical curve is thin. |
| Growth Stage (Series B+) | DCF, Comparable Multiples, Precedent Funding Rounds | Sufficient operating history and unit economics exist to support conventional, multi-method triangulated valuation. |
| Any Stage (Statutory) | NAV / Book Value Method (Rule 11UA default) | The statutory baseline under Rule 11UA where DCF is not separately elected and substantiated. |
