Welcome to Omnifin

Thanks for using the Business Valuation Suite (“Services”). The Services are provided by Omnifin Solutions Pvt. Ltd. (“Omnifin”, “we”, “us”) through omnifin.in (“Site”).

By using our Services, you are agreeing to these terms. Please read them carefully.

 

Terms

By accessing the Site, you are agreeing to be bound by these terms of service and all applicable laws and regulations, and you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using the Site. The materials on the Site are protected by applicable copyright and trademark law.

 

Not a valuation or advice

The Business Valuation Suite gives an indicative figure using a simplified model, the inputs you enter and general industry assumptions. It is not a valuation report, valuation opinion, fairness opinion or certificate of value, and it is not issued by a Registered Valuer.

Do not use the output for any statutory, regulatory, transaction, tax, financial reporting, insolvency or litigation purpose. Nothing on the Site is investment, legal, tax or accounting advice, and using the Services does not create a client or advisory relationship with us. For a formal valuation, please engage a qualified valuer.

 

Your information

You confirm that you are 18 or older, that the details and figures you enter are accurate to the best of your knowledge, and that you are authorised to enter them. Please do not enter confidential information you are not allowed to share, or personal data of other people. How we handle your information is explained in Part 2 (Privacy Policy).

 

Service License

  1. Permission is granted to use the Site and Services for personal or internal business reference only. This is the grant of a license, not a transfer of title, and under this license you may not:
  • modify or copy the materials;
  • use the materials for any commercial purpose, or for any public display;
  • scrape, decompile or reverse engineer the Site, the Calculator or its assumptions;
  • remove any copyright or other proprietary notations from the materials;
  • present the output to anyone as an Omnifin valuation or opinion; or
  • transfer the materials to another person or “mirror” them on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

 

Disclaimer and Warranties

The materials on the Site are provided on an ‘as is’ basis. We make no warranties, expressed or implied, and disclaim all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

The output depends entirely on your inputs and on default assumptions such as growth, discount rate, margins and industry benchmarks. Small changes in these can change the result materially. We do not warrant that the output or any other material on the Site is accurate, complete, current or suitable for your purpose, and we may change the Site at any time without notice.

 

Liability for our Services

TO THE EXTENT PERMITTED BY LAW, WE, OMNIFIN SOLUTIONS PVT. LTD., INCLUDING OUR AFIFLIATES, TEAM, EMPLOYEES OR DIRECTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES.

THE SERVICES ARE FREE. OUR TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS IS LIMITED TO INR ONE THOUSAND ONLY. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT ARISES FROM DECISIONS MADE ON THE BASIS OF THE OUTPUT.

 

Nothing in these terms limits any right you have under law that cannot be limited, including your rights over your personal data in Part 2.

 

Links

We have not reviewed all of the links on the Site and are not responsible for the contents of any linked website. The inclusion of any link does not imply our endorsement. Use of any linked website is at your own risk.

 

Modifications

These terms of service may be updated from time to time. We will update the last updated date to alert you to the changes, and it is your responsibility to review them periodically. A change will not give us new purposes for personal data already collected without your fresh consent. By using the Site, you agree to be bound by the then current version of these terms.

 

Governing Law

These terms are governed by and construed in accordance with the laws of India, and you submit to the exclusive jurisdiction of the courts in Kolkata, West Bengal.

Part 2: Privacy Policy

Thank you for using the Business Valuation Suite from Omnifin Solutions Pvt. Ltd. (“Omnifin”, “we”, “us”). We are committed to protecting your personal information and your right to privacy. This policy explains, in plain language, what we collect, how we use it and what rights you have, in line with the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and the Rules made under it.

 

This policy applies to information collected through omnifin.in and the Business Valuation Suite (the “Site”). If you do not agree with it, please do not use the Site. For any question, write to contact@omnifinsolutions.com.

 

  1. What information do we collect?

In Short: We collect your name, email and entity name, the figures you enter, and basic technical data.

  • Details you give us: your name, email address and entity name.
  • Calculator inputs: the financial figures and assumptions you enter. These relate to your business, but may identify you if you run a proprietorship.
  • Technical data: IP address, browser and device details, pages viewed and cookie identifiers may be collected.

 

  1. How do we use your information?

In Short: We use it to run the Calculator and to send you updates.

We use the information we collect:

  • To provide the Calculator and show your output, with your consent.
  • To send you valuation insights and updates by email. This is not needed to use the Calculator.
  • To respond to messages you send us, because you gave us your details for that purpose.
  • To protect the Site and comply with law, including preventing misuse and responding to legal requests.
  • To improve the Calculator, using anonymised and aggregated data.

 

  1. Will your information be shared with anyone?

In Short: We do not sell or rent your information.

  • Compliance with Laws. We may disclose your information where we are legally required to do so, for example in response to a court order, a government request or other legal process.
  • Vital Interests and Legal Rights. We may disclose it where we believe it is necessary to investigate or prevent fraud, misuse of the Site or other illegal activity, or as evidence in litigation in which we are involved.
  • Service Providers. We share it with vendors who work for us under confidentiality obligations, such as hosting providers.
  • Group companies. We share it with Omnifin group companies only for the purposes in section 2.
  • Business Transfers. We may share or transfer it in connection with a merger, sale of assets, financing or acquisition of all or part of our business.

We do not sell, rent or trade your information with third parties for their promotional purposes.

 

  1. Do we use cookies and other tracking technologies?

In Short: Yes, essential cookies for the Site to work, and analytics cookies only if you accept them.

We use cookies and similar tools to keep the Site working and, if you accept them in the cookie banner, to understand usage through analytics such as Google Analytics. You can change your choice, or block or delete cookies, in your browser settings. Some features may not work without cookies.

 

  1. How long do we keep your information?

In Short: Only as long as we need it.

We keep Calculator data for [24] months from your last use of the Site, and your name and email for updates until you unsubscribe. After that we delete or anonymise it, unless the law requires us to keep it longer. We also keep a record of when you gave consent and what you consented to.

 

  1. How do we keep your information safe?

In Short: We use reasonable technical and organisational safeguards.

We have put in place reasonable security safeguards to protect the personal information we process. However, no transmission over the internet is 100% secure, so please use the Site in a secure environment. If a personal data breach affects you, we will inform you and the Data Protection Board of India as the law requires.

 

  1. Do we collect information from minors?

In Short: No. The Site is for users aged 18 and above.

We do not knowingly collect data from children under 18. If we learn that we have, we will delete it promptly. If you believe a child has given us data, please contact us at contact@omnifinsolutions.com.

 

  1. What are your privacy rights?

In Short: You can see, correct, delete and control your information at any time.

  • Access: ask for a summary of the personal data we hold, how we use it, and who we have shared it with.
  • Correction and erasure: ask us to correct, complete, update or delete your personal data.
  • Withdraw consent: you can withdraw either consent at any time. To stop emails, click the unsubscribe link in any email. For anything else, write to us at [email]. Withdrawal does not affect what we did before it. If you withdraw the consent for the Calculator, we will stop using your data and delete it unless the law requires us to keep it, and you will not be able to use the Calculator.
  • Nominate: nominate another person to exercise these rights if you die or become unable to do so.
  • Complain: write to our Grievance Officer below first. If your complaint is not resolved, you may approach the Data Protection Board of India.

 

  1. Where is your information stored?

In Short: Possibly on servers outside India.

Our service providers (e.g., Google, Microsoft) may store or process your information in or outside India depending on applicable laws in India.

 

  1. Do we make updates to this policy?

In Short: Yes, when needed.

We may update this policy from time to time. The updated version will carry a new “Last updated” date and is effective once it is on the Site. We will not use data already collected for a new purpose without asking for your fresh consent. This policy is available in English and, on request to [email], in any language listed in the Eighth Schedule to the Constitution of India.
